General Terms and Conditions of Sale

1. Purpose

These Terms and Conditions of Sale govern the commercial relationship between Orkelia (Alexandre Guenot — SIRET 103 861 498 00014) and any healthcare professional or clinic manager (the "Client") subscribing to a plan via the orkelia.com website.

2. Services offered

Founder Program — €497 excl. VAT/month 12-month commitment · Setup included free · First month free · Price locked for 12 months (instead of €797 excl. VAT/month at the standard rate) · Limited to 10 founding clinics.

Orkelia Standard — €797 excl. VAT/month No commitment · Setup €590 excl. VAT · All modules (Capture + Scheduling + Reactivation).

Orkelia Clinic Multi-site — On quote, starting from €1,900 excl. VAT/month + from €2,500 excl. VAT for initial deployment · Multi-clinic, white-label, custom extensions.

VAT not applicable, article 293 B of the French General Tax Code (CGI). Orkelia (Alexandre Guenot — sole proprietorship) benefits from the VAT-exemption scheme: the amounts invoiced are net, without VAT. If the exemption thresholds are exceeded during the year, the French VAT in force (20%) will apply and will be charged on invoices issued from that date onward, in accordance with the regulations.

3. Order and payment

Subscription is carried out online via orkelia.com. Payment is processed securely by Stripe (PCI-DSS Level 1 certified). The monthly subscription is automatically renewed on the anniversary date.

The initial deployment is invoiced once, at the start of the contract.

4. Go-live guarantee (Day 30)

If the priority workflow is not operational and measurable within 30 calendar days: full refund of the initial deployment, no billing of the 1st month of subscription, with no justification required. This guarantee applies to the Founder Program and Standard plans.

5. Right of withdrawal

In accordance with article L.221-18 of the French Consumer Code, the Client has a period of 14 days from subscription to exercise their right of withdrawal. To exercise this right: alexandre@orkelia.com.

6. Termination

The Client may cancel their subscription at any time from their client area or by email. Termination takes effect at the end of the current period. No refund is made for the period already paid, except where the Day 30 guarantee applies.

7. Orkelia's obligations

Provide the services described in the subscribed offer
Availability target: 99.5% monthly
Protect the Client's data in accordance with the GDPR
Provide a DPA (Data Processing Agreement) upon signing
Direct access to the founder during the deployment phase (Founder Program)

8. Client's obligations

Provide accurate information when subscribing
Use the services in compliance with applicable laws
Not use the AI agents to deliver medical advice
Maintain the confidentiality of their login credentials

9. Limitation of liability

Orkelia is a non-clinical operational assistance solution. The AI agents do not replace medical staff and provide no medical advice. Orkelia cannot be held liable for medical decisions made on the basis of the agents' responses.

Orkelia's liability is limited to the amount of sums paid by the Client during the 12 months preceding the triggering event.

10. Governing law

These Terms and Conditions of Sale are governed by French law. Any dispute falls under the exclusive jurisdiction of the French courts.
